DEED OF ABSOLUTE SALE


OF REAL PROPERTIES

KNOW ALL MEN BY THESE PRESENTS:

This DEED, made and executed in Bacolod City, Philippines, by and between:

ANGELINA F. NAROTHAM of legal age, Filipino, married to HARISH


NAROTHAM (also known as HARISHCHANDRA NAROTHAM) and
residing at Haslington, Crewe, Cheshire, UK, hereinafter referred to as
the VENDOR.

-and-

SPS. JANICE LALA QUINTO and ROMERICO V. QUINTO, both of


legal age, Filipino, married and residents of Brgy. 3, E.B. Magalona,
Negros Occidental, Philippines, duly represented by their Attorney-in-
Fact, ELLEN S. LALA, of legal age, Filipino, married and a resident of
Brgy. 3, E.B. Magalona, Negros Occidental, Philippines, by virtue of the
Special Power of Attorney notarized before the Embassy of the
Philippines in Port Moresby, Papua, New Guinea docketed as Document
No. 2855, Page No. 119; Book No. 11, Series of 2018; Service No. 8442-43;
hereto attached as “Annex A” and forming part hereof, hereinafter
referred to as the VENDEE.

WITNESSETH:

WHEREAS, the VENDOR is the absolute and registered owner of the real
properties with improvements thereon known as Lot 163 D and Lot 163-E-2-A situated
in Brgy. 111 Poblacion, E.B. Magalona, Negros Occidental, Philippines, covered by TCT
Nos. T-152217 and 091-2018005384, respectively, issued by the Registry of Deeds for the
Province of Negros Occidental, particularly described as follows:

WHEREAS, the VENDOR agreed to sell the aforementioned real properties
together with all the improvements found thereon, including her rights and interests
thereof in favor of the VENDEE and the VENDEE is willing to buy the same subject to
certain terms and conditions mutually acceptable to the parties;

WHEREAS, pursuant to the preceding paragraph, on January 29, 2019, the


parties entered into a Contract to Sell over said realties subject to the conditions
stipulated therein which were all duly complied and accomplished by the VENDEE to
the full satisfaction of the VENDOR;

NOW, THEREFORE, for and in consideration of the sum of FOUR MILLION


FOUR HUNDRED THOUSAND PESOS (P4,400,000.00) in Philippine currency, the
VENDOR does hereby sell, transfer and convey, in a manner absolute and irrevocable,
unto the VENDEE, her heirs and assigns the real properties above described together
with all the improvements existing thereon, free and clear from all liens and
encumbrances;

As reflected in the Contract to Sell entered into by the parties, it is agreed that all
unpaid real property taxes, assessments, surcharges, interests and other charges by the
government concerning the said realties up to the date of this contract shall be to the
account of the VENDOR which shall be immediately settled or updated by the
VENDOR with the concerned government offices.

Capital Gains Tax shall be shouldered by the VENDOR while Documentary


Stamp Tax and Transfer taxes shall be to the VENDEE’s account.

Registration Fee and expenses and all other miscellaneous fees and expenses in
connection with the transfer of title shall be for the account of the VENDEE;

The VENDOR’s undertaking as to warranty against eviction and adverse claims


by third parties over realties subject of this contract as stipulated in the Contract to Sell
dated January 29, 2019 is hereby re-pleaded in this contract and made an integral part
hereof;
